Welcome to Runexo (“Company”, “we”, “our”, “us”). These Terms and Conditions (“Terms”) bind your access to and use of Runexo.ai, our GPU cloud, services, software, and ancillary applications (the “Services”). Your access to Runexo implies that you accept these Terms. If you don't accept, don't use the Services.

1. Eligibility

You must be at least 18 years of age to access Services. You must provide accurate account information and keep it up to date. You are responsible for maintaining login credential secrecy.

2. Use of Services

You only have a limited, non-exclusive, non-transferable license to access and use Runexo for legitimate purposes. You agree not to:

• Use Services for illegal activities (fraud, money laundering, harassment, hacking, exploitation of children, terrorism, etc.).

• Upload and distribute material that infringes intellectual property rights, privacy, and/or applicable law.

• Attempt to interfere with, breach, or disable Runexo's security, integrity, or functionality.

• Sublicense, redistribute, or resell Services without express written authorization.

Abusive or violative accounts may be suspended or terminated at our discretion.

3. Account and Billing

Services may be billed by pay-as-you-go methodology (hourly GPU utilization, storage credits, etc.) or by subscription plans. All payments are due at the point of purchase and are non-refundable except as required by law. Prices may be changed at our discretion, with notice posted to the website. You are responsible for all charges under your account.

4. Credits and Trials

Promotional credits or trials may be extended at our discretion. Abusive use of promotional credits (e.g., multiple accounts to evade constraints) will result in account suspension. Unused credits may expire and carry no monetary value.

5. Intellectual Property

All of Runexo's trademarks, logos, code, and contents are owned by us, including licenses granted to us. You may not reproduce, distribute, reverse-engineer, or create derivative works from Services. You retain rights to your own data, code, and outputs generated through use of the platform.

6. User Content

You are responsible for all data, code, models, and output generated through your use of Runexo. You represent that you own or control the material you process or submit. We don’t own your material but may transmit, store, or process it to facilitate the Services.

7. Abuse and Prohibited Uses

Runexo categorically prohibits:

• Illegal Content – Viruses, phishing, piracy, or illegal material.

• High-Risk Activities – Use of Services for medical, military, nuclear, or safety-critical purposes.

• Excessive Resource Usage – Activity that destabilizes the application or abuses resources.

• Competitive Misuse – Using Runexo to build or scrape rival platforms without license.

Any violation may result in account termination, reporting to authorities, and legal action.

8. Data Security & Privacy

We secure your data using commercially reasonable means, but no absolute security can be guaranteed. You are responsible for keeping backups of your data. Use of Runexo implies acceptance of our Privacy Policy.

9. Availability & Performance

We aim to provide constant access but make no guarantee of uptime or error-free operation. Scheduled maintenance and emergency interventions may cause interruptions. Runexo accepts no liability for downtime, delays, or interruptions.

10. Disclaimer of Warranties

Runexo is provided "as is" and "as available." We disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that Services will be continuous, secure, or error-free.

11. Limitation of Liability

To the fullest extent permitted by law, Runexo is not liable for indirect, incidental, or consequential damages (including loss of data, profits, or service interruptions). Our total liability is limited to the fees you paid to Runexo during the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold Runexo harmless from any claims, damages, liabilities, or costs arising from your use of the Services, your material, or your breach of these Terms.

13. Termination

We reserve the right to suspend or terminate accounts at any time, with or without reason. You may stop using the Services at any time. Upon termination of your account, your right to use the Services immediately ceases.

14. Amendments to Terms

We may modify these Terms at any time. Updates will be posted on our website with a “Last Updated” date. Continued use of Services after modifications implies acceptance of the revised Terms.
